Instructor Policy

PLEASE READ THIS DOCUMENT CAREFULLY.

This Instructor Policy (“Instructor Terms” or “Instructor Terms and Conditions”) is incorporated into and subject to our Terms of Use. These Instructor Terms sets out the conditions of your participation as an Instructor (collectively “you”) through the Services on Our Site.

1. Agreement

To be eligible to be an Instructor through the Services, you must be at least 18 years old, or, if you are between the ages of 13 and 18, you must have your parent or guardian’s permission to be an Instructor through the Services. You represent and warrant that you have obtained such permission.

Children under the age of 13 may not use Our Site or Services or register for an account.

By using the Services to create and/or offer any Course via Our Site, you acknowledge and agree to this Instructor Policy and fully agree to the terms and conditions herein. If you do not agree with the following policies, do not create any Course or offer any Course through the Services. All capitalized terms used and not otherwise defined herein shall have the meaning ascribed to them in our other Terms on Our Site.

This relationship between Instructors and Digital Entrepreneurs Academy is at will and may be terminated by either you or Us at any time.

2. Your Relationship with Students

Instructors do not have any contact with or knowledge about students or anyone who purchased their online courses. Similarly, there is no contractual relationship between Students and Instructors.

3. Obligations

As an Instructor, you represent, warrant, and covenant that:

  • You will visit www.digitalentrepreneurs.academy and complete the Instructor enrolment procedure;
  • You will be responsible for all your Submitted Content (Content uploaded, transmitted or posted to the Services by a User is “Submitted Content”).
  • You further agree that you own or have the necessary licenses, rights, consents, and permissions, and the authority to authorise Us, to reproduce, distribute, publicly perform (including by means of a digital audio transmission), publicly display, communicate to the public, promote, market and otherwise use and exploit any of your Submitted Content on and through the Services in the manner contemplated by these Instructor Terms;
  • No Submitted Content shall infringe or misappropriate any intellectual property right of a third party;
  • You have the required qualifications, credentials and expertise, including without limitation, education, training, knowledge, and skill sets, to teach and offer the services you offer on your Course and through the Services;
  • You will not post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libellous content or information;
  • You will not upload, post or otherwise transmit any unsolicited or unauthorised advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes or any other form of solicitation (commercial or otherwise) through the Services or to any User;
  • You will not use the Services for any business other than for providingteaching and instructional services to Students;
  • You will not engage in any activity that will require Us to obtain any licenses from or pay any royalties to any third party, including, by way of example and not limitation, the payment of royalties for the public performance of any musical works or sound recordings;
  • You will not copy, modify, distribute, reverse engineer, deface, tarnish, mutilate, hack, or interfere with Company Content and/or the Services or operations thereof, except as permitted in these Instructor Terms;
  • You will not frame or embed the Services in a manner to embed a free coupon version of your course or other similar functionality intended to circumvent the Services;
  • You will not impersonate another person or gain unauthorised access to another person’s Account;
  • Your use of the Services is subject to Our approval, which We may grant or deny at Our sole discretion;
  • You will not introduce any virus, worm, spyware or any other computer code, file or program that may or is intended to damage or hijack the operation of any hardware, software or telecommunications equipment, or any other aspect of the Services.
  • You will not interfere with or otherwise prevent other Instructors from providing their services or Courses;
  • You will maintain accurate Account information;
  • You agree to these Instructor Terms, as well as all other Terms and policies we have,including updated and/or new terms posted on Our Services;
  • You will assume responsibility and liability for your own performance and compliance hereunder.

4. Pricing, Payment & Taxes

Pricing

As an Instructor, you will be responsible for determining the Base Price (the course price set by the Instructor) you charge Students for Your Course(s).Instructors may offer tiered pricing whereby they include extra products such as documents.

Please note, all Instructors pricing must be one off payments and cannot offer any subscriptions or courses for free.

We are not allowed to change prices without Instructor’s consent.

Payment

Instructors are paid fifty percent (50%) of the amount received for their purchased courses (royalties). You are not entitled to any compensation, including without limitation, a salary or other employment benefits.

Payment is viaPayPalandInstructors will receive payment withinthirty (30) days of the end of the month in which the fee for the course was received.This is to ensure a smooth transaction whilst accounting for refunds.

To pay you in a timely manner, you must have a PayPal account in good standing and keep Us updated as to the correct email address associated with your PayPal account.

Taxes

You shall pay all applicable taxes relating to your use of Our Services and other products or services through your accounts.

5. Refunds

As an Instructor, you acknowledge and agree that Students have the right to receive a refund, as set forth in section 11 of Our Terms of Use. Neither Instructors nor Digital Entrepreneurs Academy shall receive any payments, fees or commissions for any transactions for which a refund has been granted pursuant to section 11 thereof.

If a Student requests a refund for a Course after We have sent an Instructor payment for that Course, Digital Entrepreneurs Academyreserves the right to either:

  1. Deduct the amount of such refund from the next payment to be sent to that Instructor, or
  2. Require that Instructor to refund any amounts refunded to Students to Us

6. Deletion of Your Account and/or Courses

Account

If you wish to delete your Instructor Account, you may do so at any time.Follow the instructions provided in your account settings page to do so.Closing your account will permanently delete your content, comments, messages, wish list, and enrolled courses. However, you hereby understand and agree that if Student(s) have previously enrolled to your Course(s), after your Account has been deleted your name and such Course(s) will remain accessible to those such Students who enrolled to

your Course(s). This is because We promise Students lifetime access to purchased courses, however, new students will not be able to access the deleted content.

Please note, instructors should collect all payments first then delete their account. We are not eligible for uncollected payments nor will be able to reimburse uncollected payments.

Should You require any assistance or encounter any difficulty in deleting your Account you may also contact Us via email at hello@digitalentrepreneurs.academy, and We will make commercially reasonable efforts to respond to your request.

Courses

Instructors can instructors remove their submitted courses at any time, however, they must email Us and request it. Please note, even if Instructor’s submitted content is removed, those who have already purchased such content can still access it.

7. Modifications to These Instructor Terms

We may review and update this Instructor Policy from time to time in our sole discretion and it is each Instructor’s responsibility to keep abreast of those changes. All changes are effective immediately when posted. As such, your continued use of the Site or Services after Digital Entrepreneurs Academy makes changes to this Instructor Policy is deemed to be acceptance of those changes, so please check this web page periodically for updates. In addition, We will notify Instructors of any material or significant changes to this Instructor Policy by placing a notice on the Site and notifying registered Instructors via email. The most recent version of the Instructor Policy supersedes all previous versions of the Instructor Policy. This includes the version of the Instructor Policy in effect at the time that you registered as an Instructor or began offering your Course(s) through the Services.
